Terms of Service

These Terms of Service (“Terms”) govern your use of all of our services: the website at zodiac.eco (the “Site”), our web application (the “App”), and our browser extension (the “Extension”) — together, the “Services” — operated by Zodiac Labs GmbH, a limited liability company under German law (“Zodiac,” “we,” “us”). By accessing or using any of the Services you agree to these Terms.

Some features, SDKs, and smart contracts may be governed by additional agreements presented at the point of use. Where those additional terms conflict with these Terms, the additional terms control for that feature.

1. Acceptance of terms

By accessing or using the Services, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Use of the Services

We grant you a non-exclusive, non-transferable, revocable license to access and use the Services for their intended, lawful purposes.

You agree not to:

• Interfere with or disrupt the Services or their underlying systems.
• Attempt to access non-public areas of the Services or their infrastructure without authorization.
• Scrape, harvest, or otherwise extract data in volume without our written permission.
• Use the Services for any unlawful purpose.

3. Intellectual property

All content we provide through the Services — including text, graphics, logos, code examples, and visual design — is owned by Zodiac or its licensors and protected by copyright and other intellectual property laws. Our open-source software is licensed under the terms stated in the relevant repositories.

The Zodiac name and logo are trademarks of Zodiac Labs GmbH. Use of them requires our prior written consent, except as permitted by fair use in factual reference.

4. Disclaimers

We provide the Services “as is” and “as available.” Information provided through the Services is for general informational purposes only and does not constitute legal, financial, investment, or tax advice. We do not guarantee that the Services will be uninterrupted, error-free, or free of harmful components. Your mandatory statutory rights and our liability under Section 6 remain unaffected.

For use of the App or Extension, strict liability for defects existing at the time of conclusion of the contract (§ 536a (1) 1st alt. BGB) is excluded.

5. Risk disclosure

Zodiac provides software infrastructure for self-custody onchain operations. Use of blockchain-based systems carries inherent risks, including but not limited to volatility, smart contract bugs in third-party protocols, oracle manipulation, regulatory uncertainty, and the irreversibility of onchain transactions. You are solely responsible for evaluating these risks and for your decisions to interact with onchain systems.

6. Limitation of liability

Where the Services are provided free of charge, we are liable only in cases of intent and gross negligence, and for fraudulent concealment of a defect.

Where the Services are provided for a fee, we are additionally liable in cases of simple negligence, but only for the breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible and on whose observance you regularly rely), and in that case limited to the foreseeable damage typical for this type of contract.

These limitations do not apply to, and our liability remains unlimited for: damage arising from injury to life, body, or health; liability under the German Product Liability Act (Produkthaftungsgesetz); any guarantee we have expressly assumed; and claims under applicable data-protection law. These limitations also apply to the personal liability of our bodies, legal representatives, employees, and vicarious agents.

7. Third-party links

The Services may link to third-party websites and resources. We are not responsible for the content, accuracy, or practices of third parties. Use of any linked resource is at your own risk and subject to the terms of that resource.

8. Changes to these terms

We may update these Terms from time to time. The current version is always available at this URL. Material changes will be indicated by updating the “Last updated” date at the top of this page. Continued use of the Services after changes constitutes acceptance of the updated Terms.

9. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods and conflict-of-laws principles. If you are a consumer resident in another EEA state, the mandatory consumer-protection provisions of your country of residence remain unaffected to the extent they are more favorable to you.

For users who are merchants within the meaning of the German Commercial Code (Handelsgesetzbuch), a special fund under public law, or a legal person under public law, Berlin is the exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms.

10. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
