These Terms of Service (“Terms”) govern your access to and use of Zodiac’s websites, applications, and related services (collectively, the “Services”). “Zodiac,” “we,” “us,” and “our” refer to the entity operating the Services.
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization, and “you” refers to that organization.
The Services are intended for professional users and organizations operating onchain systems, including smart accounts and related infrastructure. You must be able to form a binding contract to use the Services.
2.1 No custody and no control of assets
Zodiac provides software tools for coordinating and constraining onchain execution. Zodiac does not take custody of digital assets, does not hold private keys, and does not control user accounts. Any onchain transactions are executed by your accounts and the underlying protocols you choose to interact with.
2.2 Responsibility for transaction outcomes
Onchain activity is irreversible. You are solely responsible for reviewing, approving, and executing transactions, and for the outcomes of those transactions, including loss of funds, adverse market movements, protocol failures, or unexpected execution behavior. Zodiac provides tools to help define permissions, execution flows, and constraints, but does not guarantee outcomes or prevent all forms of error, misuse, or failure.
2.3 No financial, legal, or tax advice
The Services are provided for informational and operational purposes only. Zodiac does not provide investment, financial, legal, or tax advice. You are responsible for obtaining professional advice as needed.
2.4 Third-party protocol and network risk
The Services may interact with third-party protocols, blockchains, relayers, RPC providers, and other infrastructure. Zodiac does not control these third parties and is not responsible for their performance, availability, security, fees, or failures.
3.1 Account creation
Certain features may require an account. You agree to provide accurate information and to keep it up to date.
3.2 Organizational use
If you use the Services on behalf of an organization, you are responsible for managing access, permissions, and internal controls, and for ensuring that all users comply with these Terms.
3.3 Security
You are responsible for maintaining the confidentiality of credentials and for all activity that occurs under your account. You must notify us promptly if you suspect unauthorized access or misuse.
Some features may be designated as alpha, beta, preview, or coming soon. These features may be unstable, incomplete, or subject to change or removal at any time. To the maximum extent permitted by law, Zodiac disclaims liability arising from the use of beta or pre-release features.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a security or legal risk.
Some portions of the Services may be offered for free and others may require payment. If fees apply, they will be disclosed at or before activation. You are responsible for all third-party fees, including blockchain network fees and protocol fees.
7.1 Our materials
The Services, including software, interfaces, documentation, designs, and trademarks, are owned by Zodiac or its licensors and are protected by intellectual property laws. Subject to these Terms, Zodiac grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for internal business purposes.
7.2 Feedback
If you provide feedback, suggestions, or ideas, you grant Zodiac a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without compensation.
7.3 Open-source components
Certain components may be provided under open-source licenses, which govern your use of those components to the extent they conflict with these Terms.
Zodiac may modify, suspend, or discontinue any part of the Services at any time, including to improve performance,
address security concerns, or comply with legal obligations.
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Zodiac disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Zodiac does not warrant that the Services will be uninterrupted, error-free, or secure, or that transactions will execute as intended.
To the maximum extent permitted by law:
You agree to indemnify and hold harmless Zodiac and its affiliates from claims arising out of your use of the Services, your violation of these Terms, or your violation of applicable law.
You may stop using the Services at any time. Zodiac may suspend or terminate access at any time for risk management, security, or legal reasons. Upon termination, your license ends.
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.
Zodiac may update these Terms from time to time. Continued use of the Services after the effective date constitutes acceptance.
